Raphael Widmer is a Senior Associate in Pestalozzi’s Corporate / M&A practice group. He advises Swiss and international clients on domestic and cross-border M&A transactions, private equity transactions, venture capital investments, joint ventures, corporate restructurings and general corporate law matters, with a particular focus on complex cross-border transactions and multi-jurisdictional deal execution.
Raphael is a transaction lawyer trusted to manage complex cross-border transactions and coordinate international workstreams involving strategic investors, private equity sponsors and multinational businesses. He regularly advises on complex multi-jurisdictional transactions, supporting clients through all stages of a transaction, from structuring and due diligence to the negotiation of transaction documentation, signing, closing and post-closing integration matters. He is particularly experienced in coordinating transactions involving multiple jurisdictions, stakeholders and advisors.
His experience spans mandates for multinational corporations, private equity sponsors, investment funds, financial institutions, founders and growth companies across a broad range of industries, including financial services, private equity, industrials, infrastructure, technology, healthcare, life sciences, consumer products and real estate.
Since his admission to the Swiss Bar in 2020, Raphael has advised on numerous domestic and cross-border acquisitions, disposals, investments and corporate reorganizations involving multinational corporations, private equity sponsors and financial institutions.
Past and current highlights:
- advised Intrum on the sale of an investment portfolio to affiliates of Cerberus Capital Management, L.P. in a transaction valued at more than EUR 1 billion;
- advised Condecta on the sale of its MobiToil Business to TOI TOI;
- advised SPIE on the acquisition of all shares in nimeg ag;
- advised UBS on venture and growth capital investments in a number of Swiss companies.
Raphael Widmer graduated from the University of Zurich and was admitted to the Swiss Bar in 2020. He joined Pestalozzi as a Junior Associate in 2017 and returned to the firm as an Associate upon admission to the Swiss Bar in 2020.
