Pestalozzi advises Quality Light Source GmbH on merger with TCP International Holdings, Ltd.
TCP International Holdings, Ltd. (TCPI) and Quality Light Source GmbH (QLS), an entity affiliated with Ellis and Solomon Yan, today announced the closure of their merger transaction announced in December 2017. TCPI (OTC: TCPIF) is a leading global manufacturer and distributor of energy efficient lighting technologies. As a result of the merger transaction TCPI has been absorbed by QLS and its stock will stop trading on OTC markets. TCPI shareholders will receive $1.00 in cash per share as merger consideration. Pestalozzi acted as Swiss legal advisor to QLS and Ellis and Solomon Yan in this transaction.
