Pestalozzi advises Dow Chemical on the pre-merger restructuring of its USD 130 billion merger with DuPont
DuPont and The Dow Chemical Company announced on 11 December 2005, that their boards of directors unanimously approved a definitive agreement under which the companies will combine in an all-stock merger of equals. The combined company will be named DowDuPont. The parties intend to subsequently pursue a separation of DowDuPont into three independent, publicly traded companies through tax-free spin-offs. On 20 July 2016, the shareholders of Dow and DuPont approved the merger, which is expected to close in 2017 subject to necessary regulatory approvals.
Pestalozzi advised Dow Chemical on all Swiss corporate law aspects of the pre-merger restructurings.
