Pestalozzi advises Swiss based Alcon and its independent directors in the USD 40 billion sale of Alcon from Nestle to Novartis as well as on its merger with Novartis (USD 12.9 billion)
Alcon SA was an eye care company that was listed in New York, but majority controlled by Nestlé SA. When Nestlé SA sold its majority to Novartis SA, the Alcon independent directors obtained legal advise from Pestalozzi. When Novartis became the owner of the Alcon stake previously held by Nestlé, the independent directors of Alcon negotiated on behalf of the public shareholders the exit for the public shareholders which eventually resulted in the merger of Alcon into Novartis. The independent directors of Alcon were advised by Pestalozzi regarding its exit strategy and the Alcon/Novartis merger.
