Pestalozzi advises Noble Corporation on its merger and corporate emigration from Switzerland to the UK
On 1 July 2013 Noble Corporation, a leading offshore drilling contractor listed on the New York Stock Exchange and domiciled in Zug, announced that its board of directors has approved changing the place of incorporation of the publicly traded parent of the Noble group of companies (NYSE: NE) from Switzerland to the United Kingdom following the merger of Noble Corporation, the current Swiss parent company, into a newly formed company incorporated under English law. The merger will result in the newly formed company serving as the publicly traded parent of the Noble group of companies. The company's shareholders will be asked to vote to approve the proposed change. Pestalozzi advised Noble Corporation on all aspects of Swiss corporate and tax law.
