Pestalozzi advises lenders in connection with the USD 43 billion public tender offer for Syngenta by ChemChina
Pestalozzi advised HSBC Bank plc on the USD20 billion loan facilities in connection with the public tender offer made by China National Chemical Corporation (ChemChina), the Chinese state-owned chemical Company for all publicly-held shares of Syngenta AG, the Swiss seed and pesticide maker. The financing of the acquisition included USD15 billion term bridge facilities and USD5 billion backstop facilities for the purpose of refinancing existing Syngenta debt. Pestalozzi advised on Swiss banking, takeover, capital markets and all other Swiss law aspects of the financing transaction.
