Pestalozzi advises Bruker Corporation on the USD 914 million acquisition of the Bruker BioSpin group for cash and stock
Bruker BioSciences Corporation is the US based parent company of Bruker AXS Inc., Bruker Daltonics Inc., and Bruker Optics Inc. AXS, which provide high-performance scientific instrumentation and analytical solutions for life science and materials research for applied and industrial markets and for homeland security detection (industrial X-ray, mass spectrometry and infrared and Raman molecular spectroscopy technology). Bruker BioSpin Group is based in Switzerland, Germany and the US and provides life science and analytical research systems based on magnetic resonance core technology like NMR, EPR or MRI. Bruker corporation acquired the companies privately held by Bruker BioSpin in exchange of USD 388 million cash and USD 57.7 million in BrukerSciences shares. The total consideration for the Swiss group entities was USD 526 million. Pestalozzi acted as Swiss advisor to the special committee to the board of Bruker BioSciences.
